Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Kuttos Technologies platform, storefronts, point-of-sale tools, AI features, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

Kuttos provides software that enables independent brands to sell online and in person — including storefronts, inventory and POS management, order and payment processing, messaging, AI content tools, and analytics. Brands operate their own businesses on the platform; Kuttos provides the technology that powers them and is not the seller of goods offered by brands.

To use certain features you must create an account. You agree to:

• Provide accurate, current, and complete information.
• Keep your login credentials confidential and secure.
• Be responsible for all activity that occurs under your account.
• Be of legal age to form a binding contract in your jurisdiction.

Notify us immediately of any unauthorised use of your account.

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Sell prohibited, counterfeit, or illegal goods.
• Interfere with, disrupt, or attempt to gain unauthorised access to the Service or its systems.
• Upload malicious code, or infringe the intellectual property or privacy rights of others.
• Use AI features to generate unlawful, infringing, deceptive, or harmful content.

Brands are solely responsible for their products, pricing, listings, fulfilment, customer service, and compliance with applicable laws and taxes. Kuttos is not responsible for goods or services offered by brands on the platform.

Orders placed through a storefront form a contract between the shopper and the brand. Payments are handled by third-party payment providers (such as Flutterwave and mobile-money operators).

• Kuttos charges platform and transaction fees as disclosed to brands in their account or pricing. Payment-provider fees may also apply.
• Prices, availability, delivery options, and refund/return policies are set by each brand.
• Withdrawals of brand earnings may be subject to processing fees and minimum/maximum limits as disclosed in your account.

Some features are offered on a subscription basis, which may begin with a free trial.

• After any free trial ends, paid fees apply at the rate shown at sign-up unless you cancel before the trial ends.
• Subscriptions renew automatically for successive periods (e.g. monthly or yearly) until cancelled. You authorise us to charge your payment method for each renewal.
• You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period.
• Fees and subscription payments are non-refundable, except where required by law. Cancelling does not entitle you to a refund for the current period.
• We may change subscription pricing; changes apply to the next billing period after we notify you.

The Service includes AI-powered features (such as generating product descriptions, images, videos, flyers, and chat assistance), powered by third-party models including Google Gemini and Veo.

• AI can make mistakes. AI-generated output may be inaccurate, incomplete, biased, or unsuitable. It is provided “as is” for your review.
• You are responsible for reviewing and verifying AI output before relying on, publishing, or selling based on it — including prices, descriptions, claims, and imagery.
• You are responsible for ensuring AI output you publish complies with applicable laws and does not infringe third-party rights.
• We do not warrant that AI features will produce any particular result, and we are not liable for decisions you make based on AI output.

Certain AI features consume “AI credits”. The number of credits a feature uses, and the price of credits, are shown in the app and may change over time.

• AI credits are non-refundable and have no cash value. Purchased or granted credits cannot be exchanged for money.
• Credits are consumed when you use AI features, including when generation succeeds. Because AI output is variable, consumed credits are not refunded if you are unhappy with a result.
• Credits may expire, and unused credits are forfeited on account termination, as described in the app.
• We may adjust credit costs and pricing; changes apply going forward.

You retain ownership of content you upload (such as product images and descriptions). You grant Kuttos a licence to host, display, and process that content solely to operate and improve the Service.

If you connect a third-party integration (for example, publishing content to TikTok or signing in with Google or TikTok), your use of that integration is also governed by the third party’s terms, and you are responsible for the content you publish through it.

The Service, including its software, design, and branding, is owned by Kuttos and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms. Brand content remains the property of the respective brand.

The Service integrates with third-party providers (payments, delivery, messaging, AI, analytics, and hosting). We are not responsible for the availability, accuracy, or content of those services, and your use of them may be subject to their own terms.

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that AI output will be accurate.

To the maximum extent permitted by law, Kuttos shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service or reliance on AI output. Our total liability for any claim shall not exceed the amounts you paid to Kuttos in the twelve months preceding the claim.

You agree to indemnify and hold harmless Kuttos and its affiliates from any claims, damages, liabilities, and expenses arising from your use of the Service, your content, AI output you publish, or your violation of these Terms or applicable law.

We may suspend or terminate your access to the Service if you breach these Terms or use the Service in a way that may cause harm or legal liability. You may stop using the Service at any time. Provisions that by their nature should survive termination (including fees owed, disclaimers, and limitations of liability) will continue to apply.

These Terms are governed by the laws of the Republic of Uganda, without regard to its conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Uganda for the resolution of any disputes.

We may revise these Terms from time to time. When changes are material, we will update the “Last updated” date and, where appropriate, notify you within the app. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
